Other regulations govern companies because of the geographical location of their operations, globally, irrespective of their industry field - such as the US Foreign Corrupt Practices Act, the UK Bribery Act 2010 or the Brazil Clean Companies Act.\n<\/p><p class=\"oxy-text-160-275 oxy-text od-legal-p\">\nIn particular, Orphalan abides by all global anti-bribery laws, including the OECD Convention on Combating Bribery of Foreign Public Officials, the UN Convention against Corruption (UNCAC) and other applicable anti-bribery laws (including French Sapin 2 Law, UK Bribery Act 2010, and US Foreign Corrupt Practices Act).\n<\/p><p class=\"oxy-text-160-276 oxy-text od-legal-p\">\nTherefore, we expect that interactions of Orphalan's suppliers and distributors with third parties - in particular government officials and healthcare professionals - will be in line with our standards and rules of honest and ethical business conduct.\n<\/p><\/section><section class=\"oxy-container-160-285 oxy-container od-legal-card\" aria-labelledby=\"third-party-code-of-conduct-section-2\"><h2 class=\"oxy-text-160-278 oxy-text od-legal-title\" id=\"third-party-code-of-conduct-section-2\">\nI. Definitions\n<\/h2><section class=\"oxy-container-160-280 oxy-container od-legal-subsection\"><p class=\"oxy-text-160-279 oxy-text od-legal-p\">\n<strong>\"Government Official\"<\/strong> includes employees of government-owned or -controlled companies or facilities, including healthcare professionals employed by such entities. It also includes employees of any government agency or department, political party officials, candidates for political office and officers and employees of public international organisations.\n<\/p><\/section><section class=\"oxy-container-160-282 oxy-container od-legal-subsection\"><p class=\"oxy-text-160-281 oxy-text od-legal-p\">\n<strong>\"Corruption\"<\/strong> is the solicitation or acceptance of a donation or any advantage in order to perform or refrain from performing an action within the scope of one's duties. Corruption can occur directly or indirectly via a third-party, and can be active (offering the gift) or passive (accepting it).\n<\/p><\/section><section class=\"oxy-container-160-284 oxy-container od-legal-subsection\"><p class=\"oxy-text-160-283 oxy-text od-legal-p\">\n<strong>\"Bribe\"<\/strong> is anything of value given, directly or indirectly, to improperly or illegally influence a business decision or give Orphalan an unfair advantage. Examples may include cash payments, kickbacks, gifts, entertainment, or donations.\n<\/p><\/section><\/section><section class=\"oxy-container-160-303 oxy-container od-legal-card\" aria-labelledby=\"third-party-code-of-conduct-section-3\"><h2 class=\"oxy-text-160-286 oxy-text od-legal-title\" id=\"third-party-code-of-conduct-section-3\">\nII. Orphalan Ethical Values\n<\/h2><p class=\"oxy-text-160-287 oxy-text od-legal-p\">\nOrphalan's interactions with healthcare professionals (HCPs) are based on the following ethical standards and principles, which we expect our Distributors not to contradict when representing Orphalan:\n<\/p><ul class=\"oxy-container-160-302 oxy-container od-legal-list\"><li class=\"oxy-container-160-289 oxy-container\"><span class=\"oxy-text-160-288 oxy-text\">\nOrphalan will encourage ethical business practices and socially responsible industry conduct.\n<\/span><\/li><li class=\"oxy-container-160-291 oxy-container\"><span class=\"oxy-text-160-290 oxy-text\">\nBusiness must be conducted free from the unfair influence of bribery and corruption. No improper payment must ever be made, directly or indirectly.\n<\/span><\/li><li class=\"oxy-container-160-293 oxy-container\"><span class=\"oxy-text-160-292 oxy-text\">\nEnduring customer relationships are based on integrity and trust. We seek advantage over competitors through superior products, research and service - never through improper business practices.\n<\/span><\/li><li class=\"oxy-container-160-295 oxy-container\"><span class=\"oxy-text-160-294 oxy-text\">\nOrphalan's relationships with HCPs are intended to benefit patient care and enhance the practice of medicine.\n<\/span><\/li><li class=\"oxy-container-160-297 oxy-container\"><span class=\"oxy-text-160-296 oxy-text\">\nOrphalan will not, directly or indirectly, offer or solicit any kind of payment or contribution for the purpose of obtaining, giving, keeping or rewarding business.\n<\/span><\/li><li class=\"oxy-container-160-299 oxy-container\"><span class=\"oxy-text-160-298 oxy-text\">\nThe law forms a foundation for Orphalan's business conduct. We must conduct our business in accordance with the laws of the cities, states and nations where we operate.\n<\/span><\/li><li class=\"oxy-container-160-301 oxy-container\"><span class=\"oxy-text-160-300 oxy-text\">\nOrphalan expects its employees and business partners to act in a way that conforms to the letter of the law and promotes the spirit of fairness and honesty underlying the laws.\n<\/span><\/li><\/ul><\/section><section class=\"oxy-container-160-318 oxy-container od-legal-card\" aria-labelledby=\"third-party-code-of-conduct-section-4\"><h2 class=\"oxy-text-160-304 oxy-text od-legal-title\" id=\"third-party-code-of-conduct-section-4\">\nIII. Essential Principles Governing Relationships with Healthcare Professionals\n<\/h2><section class=\"oxy-container-160-308 oxy-container od-legal-subsection\"><h3 class=\"oxy-text-160-305 oxy-text od-legal-subtitle\">\nPrinciple of Prohibition\n<\/h3><p class=\"oxy-text-160-306 oxy-text od-legal-p\">\nFrench, UK, US and other national laws impose criminal and civil penalties on pharmaceutical companies that improperly influence any HCP to purchase, order or recommend a healthcare product or service.\n<\/p><p class=\"oxy-text-160-307 oxy-text od-legal-p\">\nThese laws also generally prohibit inducement of HCPs through payment in cash or in kind, non-business meals, or entertainment. Monetary penalties for violation of these laws can be substantial for both HCPs and companies.\n<\/p><\/section><section class=\"oxy-container-160-317 oxy-container od-legal-subsection\"><h3 class=\"oxy-text-160-309 oxy-text od-legal-subtitle\">\nNo Improper Payments\n<\/h3><p class=\"oxy-text-160-310 oxy-text od-legal-p\">\nIt is contrary to Orphalan's policy to pursue any business that would require employees or business partners to engage in dishonest, unethical or illegal activity. Advantage over competitors should be gained through superior products, never through improper business practices.\n<\/p><p class=\"oxy-text-160-311 oxy-text od-legal-p\">\nWe do not directly or indirectly offer or solicit any kind of payments, contributions or other consideration for the purpose of:\n<\/p><ul class=\"oxy-container-160-316 oxy-container od-legal-list od-legal-list--compact\"><li class=\"oxy-container-160-313 oxy-container\"><span class=\"oxy-text-160-312 oxy-text\">\nInfluencing HCPs, suppliers or governmental entities to purchase or provide products or services\n<\/span><\/li><li class=\"oxy-container-160-315 oxy-container\"><span class=\"oxy-text-160-314 oxy-text\">\nObtaining, giving, keeping or rewarding business\n<\/span><\/li><\/ul><\/section><\/section><section class=\"oxy-container-160-354 oxy-container od-legal-card\" aria-labelledby=\"third-party-code-of-conduct-section-5\"><h2 class=\"oxy-text-160-319 oxy-text od-legal-title\" id=\"third-party-code-of-conduct-section-5\">\nIV. Permitted Exceptions\n<\/h2><section class=\"oxy-container-160-330 oxy-container od-legal-subsection\"><h3 class=\"oxy-text-160-320 oxy-text od-legal-subtitle\">\nHospitality, Gifts, Meals and Entertainment\n<\/h3><p class=\"oxy-text-160-321 oxy-text od-legal-p\">\nApplicable laws allow some exceptions under very specific conditions. Hospitality may be offered to HCPs for promotional, professional or scientific events, provided it:\n<\/p><ul class=\"oxy-container-160-328 oxy-container od-legal-list od-legal-list--compact\"><li class=\"oxy-container-160-323 oxy-container\"><span class=\"oxy-text-160-322 oxy-text\">\nIs \"modest and reasonable\"\u00b9\n<\/span><\/li><li class=\"oxy-container-160-325 oxy-container\"><span class=\"oxy-text-160-324 oxy-text\">\nIs related to the purpose of the meeting\n<\/span><\/li><li class=\"oxy-container-160-327 oxy-container\"><span class=\"oxy-text-160-326 oxy-text\">\nIs not extended to anyone other than the participating HCP\n<\/span><\/li><\/ul><p class=\"oxy-text-160-329 oxy-text od-legal-p od-legal-emphasis\">\nUnder no circumstances may a gift of money be given or received.\n<\/p><\/section><section class=\"oxy-container-160-349 oxy-container od-legal-subsection\"><h4 class=\"oxy-text-160-331 oxy-text od-legal-minor-title\">\nSummary of hospitality guidelines:\n<\/h4><ul class=\"oxy-container-160-348 oxy-container od-legal-list od-legal-list--compact\"><li class=\"oxy-container-160-333 oxy-container\"><span class=\"oxy-text-160-332 oxy-text\">\nEvent must have legitimate scientific or informational content\n<\/span><\/li><li class=\"oxy-container-160-335 oxy-container\"><span class=\"oxy-text-160-334 oxy-text\">\nHospitality must never be conditional on the purchase of our products\n<\/span><\/li><li class=\"oxy-container-160-337 oxy-container\"><span class=\"oxy-text-160-336 oxy-text\">\nAccommodation and travel expenditures should be modest and reasonable\n<\/span><\/li><li class=\"oxy-container-160-339 oxy-container\"><span class=\"oxy-text-160-338 oxy-text\">\nInvitations should never be extended to anyone other than the HCP\n<\/span><\/li><li class=\"oxy-container-160-341 oxy-container\"><span class=\"oxy-text-160-340 oxy-text\">\nAny hotel stay should coincide with the event (not more than 12 hours before and after)\n<\/span><\/li><li class=\"oxy-container-160-343 oxy-container\"><span class=\"oxy-text-160-342 oxy-text\">\nNo expenses other than reasonable meals, travel or accommodation\n<\/span><\/li><li class=\"oxy-container-160-345 oxy-container\"><span class=\"oxy-text-160-344 oxy-text\">\nExpenses should be pre-paid rather than reimbursed to HCPs wherever possible\n<\/span><\/li><li class=\"oxy-container-160-347 oxy-container\"><span class=\"oxy-text-160-346 oxy-text\">\nInvitation letters should be sufficiently explanatory\n<\/span><\/li><\/ul><\/section><section class=\"oxy-container-160-353 oxy-container od-legal-subsection\"><h3 class=\"oxy-text-160-350 oxy-text od-legal-subtitle\">\nPayment to HCPs, Clinical Studies and Registries\n<\/h3><p class=\"oxy-text-160-351 oxy-text od-legal-p\">\n<strong>No payment to a HCP without a written contract.<\/strong> Any payment for consulting, proctoring, training or speaking should be covered by an agreement. Compensation must reflect fair market value for the services provided.\n<\/p><p class=\"oxy-text-160-352 oxy-text od-legal-p\">\n<strong>No clinical studies or registries launched without Orphalan's prior approval.<\/strong> Our Distributor shall not launch, promote or sponsor any clinical study or registry on Orphalan's products without prior written approval from Orphalan's Clinical and Regulatory Departments.\n<\/p><\/section><\/section><section class=\"oxy-container-160-362 oxy-container od-legal-card\" aria-labelledby=\"third-party-code-of-conduct-section-6\"><h2 class=\"oxy-text-160-355 oxy-text od-legal-title\" id=\"third-party-code-of-conduct-section-6\">\nV. Commitment to Accurate and Complete Financial Reporting\n<\/h2><section class=\"oxy-container-160-358 oxy-container od-legal-subsection\"><h3 class=\"oxy-text-160-356 oxy-text od-legal-subtitle\">\nBooks and Records\n<\/h3><p class=\"oxy-text-160-357 oxy-text od-legal-p\">\nWe require full compliance with applicable laws requiring that all accounting books and records be accurately maintained and fully disclose the nature of transactions reflected in them - including quality, safety, personnel records, financial records, customer invoices, expense reimbursements and anything of value provided to physicians, HCPs or governmental officials.\n<\/p><\/section><section class=\"oxy-container-160-361 oxy-container od-legal-subsection\"><h3 class=\"oxy-text-160-359 oxy-text od-legal-subtitle\">\nCreation and Retention of Records\n<\/h3><p class=\"oxy-text-160-360 oxy-text od-legal-p\">\nAll business records and communications should be clear and accurate. When litigation or a government investigation is pending, imminent or reasonably foreseeable, relevant records must not be destroyed until the matter is closed and the Legal Department has confirmed it is appropriate to destroy such documents.\n<\/p><\/section><\/section><section class=\"oxy-container-160-365 oxy-container od-legal-card\" aria-labelledby=\"third-party-code-of-conduct-section-7\"><h2 class=\"oxy-text-160-363 oxy-text od-legal-title\" id=\"third-party-code-of-conduct-section-7\">\nVI. Business Licenses\n<\/h2><p class=\"oxy-text-160-364 oxy-text od-legal-p\">\nIn some countries, Orphalan products can be sold only after the securing of relevant business licenses with local authorities. Under these licenses, local governments may exclude certain hospitals or types of healthcare institutions and\/or certain products in our catalogue.
